1. Acceptance of Terms
By accessing or using Zenth Trading ("the Platform," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all visitors, users, and subscribers.
2. Description of Service
Zenth Trading is an AI-powered market analysis and trade execution platform. It provides:
- Real-time market data aggregation and display
- AI-generated trading signals and narrative simulation
- Connection to third-party brokerage services (Alpaca Markets)
- Backtesting, portfolio tracking, and tax analysis tools
We are not a broker-dealer, investment adviser, or financial planner. We do not hold, custody, or transmit funds. All actual trading is conducted through Alpaca Markets, a registered broker-dealer.
3. Broker Connection and Trading
When you connect your Alpaca account to Zenth Trading via OAuth:
- You authorize Zenth Trading to place orders on your behalf through Alpaca
- Your funds remain in your Alpaca account, which is SIPC-insured up to $500,000
- You remain solely responsible for all trading decisions, whether manual or automated
- You may revoke this authorization at any time by disconnecting in Settings
4. Investment Risk Acknowledgment
Trading securities involves substantial risk of loss. By using automated trading features (Auto-Pilot, auto-execute), you acknowledge:
- AI-generated signals are not guaranteed to be profitable
- Past performance of any algorithm, backtest, or strategy does not guarantee future results
- You may lose some or all of your invested capital
- The Risk Disclosure document contains additional required disclosures
5. Subscriptions and Billing
Paid subscriptions are billed monthly or annually via Stripe. By subscribing:
- You authorize recurring charges to your payment method
- Monthly plans renew each calendar month; annual plans renew each year
- You may cancel at any time; access continues until the end of the billing period
- Refunds are not provided for partial billing periods, except where required by law
- We reserve the right to modify pricing with 30 days' notice
6. Prohibited Uses
You may not use the Platform to:
- Engage in market manipulation, wash trading, or other illegal trading practices
- Violate any applicable securities laws or regulations
- Attempt to reverse-engineer, scrape, or abuse our APIs
- Share your account credentials with third parties
- Use the Platform if you are located in a jurisdiction where securities trading is prohibited
7. Intellectual Property
All Platform content, algorithms, and software are proprietary. You are granted a limited, non-exclusive, non-transferable license to use the Platform for personal or business trading purposes. You may not copy, distribute, or create derivative works from our software or content.
8. Limitation of Liability
To the maximum extent permitted by law, Zenth Trading and its operators shall not be liable for:
- Trading losses resulting from AI signals or automated execution
- Data inaccuracies from third-party market data providers
- Service outages, delays, or technical failures
- Losses resulting from Alpaca Markets outages or execution failures
Our total liability to you shall not exceed the fees paid in the 3 months preceding the claim.
9. Governing Law
These Terms are governed by applicable law. Any disputes shall be resolved through binding arbitration. Class action lawsuits are waived to the extent permitted by law.
10. Changes to Terms
We may update these Terms at any time. Material changes will be communicated by email or in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
